Terms of Service

These Terms of Service ("Terms") govern access to and use of Ads Console (the "Service"), an advertising management application operated by Sunlit Florida, LLC ("Sunlit Florida," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Purpose and Eligibility

The Service is an internal tool built and operated by Sunlit Florida, LLC for managing Google Ads accounts and related marketing operations on behalf of Sunlit Florida. It is not offered as a public product or service to third parties. Access is limited to individuals specifically authorized by Sunlit Florida, LLC, including employees and engaged contractors acting on the company's behalf.

2. Account Registration and Security

Access to the Service requires a login issued by an authorized administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access to or use of your credentials. Credentials may not be shared, transferred, or used by anyone other than the individual to whom they were issued.

3. Acceptable Use

You agree to use the Service only for its intended purpose — managing advertising accounts and configurations that Sunlit Florida, LLC owns or is authorized to manage — and agree not to:

  • Access or attempt to access accounts, data, or functionality you have not been authorized to use;
  • Use the Service in any way that violates Google's advertising policies, the Google Ads API Terms of Service, or any applicable law or regulation;
  • Use the Service to interfere with, disrupt, or gain unauthorized access to any system, network, or account;
  • Circumvent, disable, or otherwise interfere with any authentication or security feature of the Service;
  • Use automation features of the Service in a manner intended to misrepresent, falsify, or manipulate advertising performance data or click attribution.

4. Automated Features

The Service includes features that make scheduled or automated changes to connected advertising accounts, including budget, bidding, ad status, and destination URL updates, based on configuration set by an authorized user. You are responsible for reviewing and testing any automation you configure. Sunlit Florida, LLC is not liable for the outcome of automated changes made in accordance with a configuration an authorized user has set up.

5. Compliance with Google Policies

Use of the Service in connection with the Google Ads API must comply with all applicable Google Ads policies, the Google Ads API Terms of Service, and Google's Required Minimum Functionality and brand-usage policies. Sunlit Florida, LLC is responsible for the accounts, configurations, and actions carried out through the Service.

6. Intellectual Property

The Service, including its software, design, and content, is the property of Sunlit Florida, LLC or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited right to access and use it as authorized.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sunlit Florida, LLC does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, Sunlit Florida, LLC and its personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or advertising spend, arising out of or related to use of the Service, including any automated changes made through it, even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Sunlit Florida, LLC from any claims, damages, liabilities, and expenses arising from your misuse of the Service or violation of these Terms.

10. Termination

Sunlit Florida, LLC may suspend or terminate your access to the Service at any time, with or without notice, including for conduct that violates these Terms or is otherwise harmful to the Service, other users, or third parties.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above indicates when these Terms were last revised. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws principles.
